Terms
Terms of Service
Effective date: January 1, 2026
1.1 Who we are
Refer ("Refer", "we", "us") is operated by Refer Services, Inc., a Delaware public benefit corporation, 425 Page Mill Rd, 2nd Floor, Suite 200, Palo Alto, CA 94306. Our public benefit is to enable talented individuals to fulfill their professional potential by helping them pursue their ideal job.
1.2 Agreement
These Terms govern your use of liarefer.com, our apps, Lia (our AI career agent) and related services (the "Service"). By using the Service you agree to these Terms. If you are a candidate, the Candidate Terms also apply. If you represent a company, the Company Terms apply, and the Boosted Job Terms apply to any job you boost. If they conflict, the more specific document wins.
1.3 Eligibility
You must be at least 18. If you sign up for a company, you confirm you're authorized to bind it.
1.4 Accounts
Give accurate, current information and keep it updated. One account per person. Keep your login private; you're responsible for activity on your account unless it results from a security failure outside your control that you reported promptly. Tell us at contact@cardinalrefer.com or lia@cardinalrefer.com if you think it's been compromised.
1.5 How Refer works
Refer matches candidates with companies and makes Introductions.
An Introduction happens when both the candidate and the company say yes and Refer connects them, by sending the Introduction email or releasing contact details in the Service. The Introduction date is the date recorded in the Service for that connection. A match, a recommendation, a profile viewed in search, a pending request, a cold application, or a person imported from a company's own ATS is not an Introduction.
A Hiring Process is the sequence of consideration that results from an Introduction, including an agreed move to another role at the same company. The first Introduction that starts a Hiring Process fixes its Attribution Window (12 months from that Introduction) and, for companies, whether the job was Boosted at the time. Further Introductions during the same Hiring Process do not restart the window or change the fee. A new Hiring Process with the same company or candidate, after the earlier one has ended and both sides opt in again, has its own window; Refer tells both sides before that new Introduction that a new window applies. The anti-circumvention rules in 1.7 and 4.8 do not extend a window or the affiliate rule.
Hiring by an affiliate (an entity controlling, controlled by or under common control with the company) counts only if the company moved the process there or the affiliate hired the candidate for the same opportunity.
We don't guarantee interviews, offers, hires or candidates. Hiring decisions are always the company's and the candidate's. Refer is not the employer, co-employer or agent of any candidate or company.
1.6 AI
Lia and other features use AI and can be wrong. Treat matches, salary ranges and advice as suggestions, not professional advice. Conversations with Lia (chat or voice) are used to understand your profile and preferences and to improve the Service. Messages with Lia don't create binding agreements; Lia can't agree a fee, discount or exception. Only these written Terms (and written agreements signed by an authorized Refer officer) bind us.
1.7 Acceptable use
You won't:
- give false information, impersonate anyone, or post fake or misleading jobs or profiles;
- harass, threaten or discriminate against anyone, including on any legally protected characteristic;
- scrape, copy, resell or redistribute profiles, jobs or other data from the Service, or use it to build a competing product or talent database;
- act as a recruiting agency, staffing firm or other intermediary on behalf of third parties (unless we agree in writing);
- share candidate or company information outside the purpose it was shared for;
- conceal a hire or use a sham arrangement to avoid fees owed to Refer;
- hack, reverse engineer, overload or introduce malicious code into the Service;
- break any law, including employment, anti-discrimination, privacy and anti-spam laws.
1.8 Your content
You own what you upload (CVs, job posts, messages). You give us a worldwide, non-exclusive, royalty-free license to host, process and share it as needed to run the Service, including showing it to the other side of a potential match. We use your information to operate and improve matching and admission, and may use de-identified, aggregated data to improve the Service and train our own models. We don't let our AI model providers train their models on your personal information.
1.9 Our IP
The Service, Lia, our brand and our software belong to Refer and its licensors. We give you a limited, revocable, non-transferable license to use the Service under these Terms. Feedback you give us we can use freely.
1.10 Third-party services
We use providers such as payment processors, AI model providers and hosting. Their terms may apply to parts of the Service.
1.11 Suspension and termination
You can close your account at any time. We may suspend or close accounts that breach these Terms, create risk for other users, or that we're legally required to close; where practical we'll give notice and a chance to fix the problem first. Closing an account doesn't cancel fees already owed or triggered by Introductions made before closing.
1.12 Disclaimers
The Service is provided "as is" and "as available." To the extent the law allows, we disclaim all implied warranties. Our matching is an automated analysis of what candidates and companies tell us. We do not independently verify it: no background, reference, education or work-authorization checks. We're not responsible for anything either side says or does.
1.13 Limitation of liability
To the extent the law allows, Refer isn't liable for indirect, incidental, special, consequential or punitive damages, or lost profits, data or opportunities. Our total liability for any claim is limited to the greater of the fees you paid us in the 12 months before the claim and US$100. Nothing here limits liability that can't be limited by law, including for fraud or gross negligence, or our duty to refund or correct an overcharge.
1.14 Indemnity
If you're a company, you'll defend and reimburse Refer for third-party claims arising from your hiring conduct, your breach of these Terms or the law, or your misuse of candidate data, except to the extent caused by Refer. If you're a candidate, the same applies to claims arising from your breach of these Terms or the law.
1.15 Disputes
Delaware law governs, without regard to conflict-of-law rules. Before filing anything, email contact@cardinalrefer.com or lia@cardinalrefer.com and give us 30 days to try to resolve it. Unresolved disputes go to binding individual arbitration under the AAA rules in Wilmington, Delaware (or remotely). Refer may use small claims court to collect undisputed unpaid fees from a candidate or company. You can opt out of arbitration by emailing us within 30 days of signing up. Where local consumer law gives you the right to sue in your own courts, nothing here removes that right.
1.16 Changes
We may update these Terms. For material changes we'll give at least 30 days' notice by email or in-app. Changes don't apply retroactively to fees for Introductions already made, and a new or increased fee applies only to Introductions made after you accept it. Transition: Introductions made before you accepted this version stay under the terms you accepted at the time; this version does not add a fee, a 12-month window, interest or arbitration to them.
1.17 General
If a clause is unenforceable, the rest stays in force. Not enforcing a right isn't a waiver. You can't transfer these Terms without our consent; we can transfer them in a merger, acquisition or sale. Headings are for convenience. "Including" means "including without limitation."

Candidate Terms & Success Fee Agreement
Effective date: January 1, 2026
Refer is free to use. You only pay if Refer introduces you to a company and you get hired there.
2.1 When you owe a fee
You owe a Success Fee if you accept an offer from a company we introduced you to within the Attribution Window (12 months from the first Introduction of that Hiring Process, see 1.5). This includes:
- being hired for a different role than the one we introduced you for;
- being hired after the company first passed on you;
- finishing the process through another channel (applying directly, a referral, a contact you met through Refer) after the Introduction put you in front of the company;
- being hired by an affiliate under the affiliate rule in 1.5.
If you are hired by a company we introduced you to within the window, we treat the Introduction as the reason for the hire unless you show, with dated evidence, that the hire came from a separate process the Introduction played no part in (see 2.4). No fee is due if you never start, including if the offer is withdrawn.
2.2 How much
| Type of hire | Success Fee |
|---|---|
| Employee (full- or part-time) | 20% of your first month's gross base salary. Salaried: annual base ÷ 12. Hourly: gross base pay for your first 30 days, excluding overtime premiums. |
| Contractor / freelancer | 20% of the gross fees you earn from the company for your own work in your first 30 days, excluding reimbursed expenses and taxes. |
| Other (equity-only, unpaid, internship, fellowship, co-founder) | No fee while there is no cash pay. If it becomes paid within the Attribution Window, the employee or contractor fee applies to your first month of paid work. |
Bonuses, commission, equity, benefits, sign-on and relocation payments are excluded. One fee per Hiring Process: if you convert from contractor to employee or change roles within the same process, no second fee is due.
2.3 Boosted jobs
These are a very small fraction of Refer's jobs, but if you're hired in a Hiring Process whose first Introduction was made while the job was Boosted, the company pays and you owe nothing for that hire. Even though unlikely, we'll tell you when this applies.
2.4 Already talking to them?
No fee is owed if, in the 6 months before our Introduction, you had applied to that company for a similar role or had a real two-way conversation with them about a role. A process through another recruiter counts; an unanswered message, a LinkedIn connection or being in their database doesn't. Tell us preferably before you accept the Introduction, and in any case within 10 business days after it, at contact@cardinalrefer.com or lia@cardinalrefer.com, with proof dated before the Introduction (an application confirmation, an interview invitation, an email thread). If the company shows us you were already in its pipeline, that counts for you too. After that period, the Introduction counts unless you provide reliable evidence we could not reasonably have known about.
2.5 Tell us when you're hired
Within 7 days of accepting an offer from a company we introduced you to, email lia@cardinalrefer.com or contact@cardinalrefer.com with the company, role, start date and base pay (or contract rate). Tell us if anything changes before you start. We may confirm details with the company, through an ATS integration the company authorized, or through public professional information. If we do not hear from you, we may invoice you based on reasonable estimates, as well as collect any late payment fees as highlighted in 2.9.
2.6 When and how you pay
We invoice after the end of your first month of work, and the fee is due 30 days after the invoice date. Fees are in US dollars unless we agree otherwise; if you're paid in another currency we convert at the market rate on your start date. Fees exclude any sales tax or VAT, which we'll add where required.
2.7 Refund if you're let go
If the company ends your employment or contract within 90 days of your start date, including a layoff or role elimination, we refund your fee in full. We don't refund if you resign or leave by choice, or if you're dismissed for gross misconduct, fraud or giving false information. To claim, email contact@cardinalrefer.com or lia@cardinalrefer.com within 30 days of your last day with proof (e.g. a termination letter or email). We refund to your original payment method within 30 days. If an offer is withdrawn before you start, no fee is owed.
2.8 Disputes about a fee
If you think a fee is wrong, email contact@cardinalrefer.com or lia@cardinalrefer.com within 30 days of the invoice with your reasons. No interest or collection runs while we review in good faith. If we can't agree, 1.15 applies.
2.9 Late payment
Unpaid amounts accrue simple interest of 1.5% per month (or the maximum allowed by law, if lower) from the due date. For any overdue payment, we may use a collection agency or take legal action and, where the law allows, recover reasonable collection costs.
2.10 No exclusivity
Use any other job board, recruiter or network you like. The fee only applies to companies we introduced you to, under 2.1.
2.11 Sharing your profile
Depending on your availability settings, companies may see your professional profile (CV, LinkedIn, work history, location, work authorization) in matches or search before an Introduction; the contact fields of your profile are shared only after both sides say yes. Contact details you include in your CV or other documents you upload may be visible with those documents, so review them before sharing. The minimum salary you set as a filter is never shared with companies. By signing up you allow Lia to message companies on your behalf. You can ask us to hide your profile from specific companies (such as your current employer, which we usually do by default).
2.12 Local law wins
If the law where you live or work bans or limits fees charged to job seekers, we won't charge more than that law allows, we won't charge at all where it's prohibited, and we'll refund anything already charged above what it allows. Your statutory rights are unaffected.
2.13 After you leave Refer
Company Terms
Effective date: January 1, 2026
Refer is free for companies. You pay only if you choose to Boost a job, under the Boosted Job Terms.
3.1 Who's agreeing
These terms are between Refer and the company you represent ("Company"). You confirm you're authorized to accept them for it. Everyone you invite to your company account is bound by them too. Register with an email on your company's domain.
3.2 Your own hiring only
Use Refer only to hire for your company and its affiliates. No recruiting agencies, staffing firms or headhunters working for clients. The exception: embedded recruiters or RPO providers who sign up with an email on the client's domain and hire only for that client.
3.3 Real jobs
Post only open roles you genuinely intend to fill, with accurate titles, locations and pay. Follow every law that applies to your postings and hiring, including anti-discrimination, pay transparency (for example, California requires pay ranges in postings for employers with 15+ employees), work authorization, background-check and automated-decision laws.
3.4 Candidate information
Before an Introduction you may see a candidate's professional profile in matches or search; an Introduction adds their contact fields. Contact details that appear inside a CV do not replace the double opt-in: do not contact a candidate outside the Service before an Introduction. A candidate's salary filters are never shared with you. Candidate information is shared with you only to consider them for your roles. You won't:
- forward, sell or disclose candidates to anyone outside your company (including other companies, agencies or investors); your advisers, ATS and other service providers acting for you under confidentiality are fine;
- add them to external databases or marketing lists;
- contact them about anything other than roles at your company, unless they agree.
You're an independent controller of candidate data you receive. Keep it secure, use it lawfully (including CCPA/CPRA and, where they apply, GDPR and UK GDPR), delete or anonymize it within 12 months of the last recruiting activity unless you hired the candidate or the law requires longer, honor deletion requests, and tell us within 72 hours if it's involved in a security breach.
3.5 Confirm hires
If you make an offer to, or hire, a candidate Refer introduced within 12 months (Attribution Window), email lia@cardinalrefer.com or contact@cardinalrefer.com within 5 business days of the offer being accepted with the start date, role, employment type and base pay (or contract rate), and tell us if the offer is withdrawn, the start date moves, or the person leaves within 90 days. Candidates pay Refer based on this, so it must be accurate. It costs you nothing (unless the job is Boosted). On reasonable request, no more than twice a year, confirm whether specific candidates we introduced were hired. Hire data from an ATS integration you connected counts as this notice.
3.6 Don't charge candidates
You won't ask candidates you met through Refer to pay you or anyone else for the opportunity, and you won't ask them to reimburse any Boost Fee.
3.7 Your decisions
You're responsible for interviewing, checking references, verifying qualifications and work authorization, and every hiring decision. Refer's matching is an automated analysis of what candidates tell us; we don't verify or vouch for them, and AI-generated matches must be reviewed by a person on your team before you act on them.
3.8 Your name and logo
We may list your company name and logo as a company hiring on Refer. Email us to opt out.
3.9 Integrations
If you connect an ATS or other tool, you authorize us to read and write only the data shown at connection or separately agreed (for example creating candidates and applications, updating status, receiving hire updates). Where the integration processes applicant records under your instructions, a data processing agreement applies. You can disconnect at any time; disconnecting doesn't cancel fees for Introductions already made.
3.10 External applicants
People you import from your ATS, add manually, or who apply directly on your careers page are your own applicants, not Refer candidates, and create no Introduction and no fee on either side, even if they also use Refer's software. Importing a person who already has a valid Introduction with you does not cancel that Introduction. If one of them later joins Refer, a fee requires their own acceptance of the Candidate Terms and a qualifying Introduction, and an existing process with you qualifies as "already in your pipeline" under 4.4.
3.11 Ending
Boosted Job Terms
Effective date: October 15, 2026
Boosting a job tells Refer and Lia to prioritize it. You pay only if you hire someone we introduced for it.
4.1 What a Boost is
A Boost applies to one job (the "Boosted Job") from the moment a user authorized to incur fees confirms it until you un-boost or close the job. We record each Boost (company, job, fee, who confirmed and when) and show you that record on request. Refer prioritizes the Boosted Job in matching and outreach. We don't guarantee a number of candidates, interviews or a hire.
4.2 When you owe a fee
You owe a Boost Fee if, within the Attribution Window of a Hiring Process whose first Introduction was made while the job was Boosted, you or an affiliate (under the affiliate rule in 1.5) hire that candidate in any role. A Hiring Process that started while the job was not Boosted carries no fee even if you boost it later. Un-boosting or closing the job doesn't cancel the fee for a process that started under Boost. No fee is due if the candidate never starts.
4.3 How much
| Type of hire | Boost Fee |
|---|---|
| Employee | 20% of the candidate's first-year gross base salary. Hourly or variable-hour without a fixed annual salary: 20% of base pay for the first 30 days, times 12. |
| Contractor | 20% of fees paid or payable for the candidate's own work (to the candidate, their company or an intermediary, excluding reimbursed expenses, taxes and staffing-agency margin) in the first 12 months of the engagement, invoiced monthly; invoicing stops at 12 months or when the engagement ends. |
| Other (equity-only, unpaid, internship) | No fee while there is no cash pay. If it becomes paid within the Attribution Window and work starts within 6 months, the employee or contractor fee applies. |
Bonuses, commission, equity and benefits are excluded. If a contractor or "other" hire converts to employee within the window, the employee fee applies minus the contractor fees already paid or still payable; monthly contractor invoices stop when employment starts. The candidate owes Refer nothing for a Boosted hire.
4.4 Already in your pipeline
No fee if the candidate applied to you for a similar role, or had a real two-way conversation with you about a role, in the 6 months before our Introduction. A process through another recruiter counts; internal notes, an ATS record without candidate interaction or an unanswered outreach don't. Email contact@cardinalrefer.com or lia@cardinalrefer.com with dated proof (application timestamp, email thread, ATS export) within 10 business days of the Introduction. If the candidate shows us they were already in your pipeline, that counts for you too. After that period, the Introduction counts unless you provide reliable evidence we could not reasonably have known about.
4.5 Reporting
Email the hire to lia@cardinalrefer.com or contact@cardinalrefer.com within 5 business days of the offer being accepted, with start date and base pay (or contract terms). If you don't, we may invoice on a reasonable estimate for the role and location and will say so on the invoice. If you report late, we invoice with the normal payment term from when we learn of the hire; a deliberate omission is treated under 4.8. Late payment fees apply.
4.6 Invoicing and payment
We invoice on the candidate's start date. Payment is due within 30 days of the invoice, in US dollars, by card or bank transfer. Contractor fees are invoiced monthly in arrears from the timesheets or invoices you share within 10 days after each month. Fees exclude taxes, which we add where required.
4.7 90-day guarantee
If the hire leaves within 90 days of their start date, because they resign or because you dismiss them for performance or conduct, we refund the fee in full. No refund if you end the role for reasons unrelated to the person (e.g. layoffs or restructuring). Email contact@cardinalrefer.com or lia@cardinalrefer.com within 14 days of their last day; we refund within 30 days.
4.8 No workarounds
Passing a candidate from a Boosted Job to an affiliate, another company or a third party, hiring them through another channel, or concealing the hire, within the Attribution Window, still triggers the fee as if you'd hired them directly, with no 90-day guarantee.
4.9 Disputes and late payment
If you think a fee is wrong, email contact@cardinalrefer.com or lia@cardinalrefer.com within 30 days of the invoice, paying any undisputed part on time; no interest runs during good-faith review. Overdue amounts accrue simple interest of 1.5% per month (or the legal maximum, if lower). We may refer the debt to collections and recover reasonable collection costs.
Refer & Earn and Growth Partners — Program Terms
Effective date: 03/01/2026
Refer Services, Inc., a Delaware public benefit corporation ("Refer", "we", "us")
A lot of Refer's growth has come from people telling their friends and colleagues about us. These Program Terms explain how we reward that, and what everyone can expect.
These Program Terms govern Refer's two referral programs, Refer & Earn and Growth Partners (together, the "Program"). They form part of, and are read together with, Refer's Terms of Service and Privacy Policy. If you're a Refer candidate, the Candidate Terms also apply to your own use of Refer. If these Program Terms conflict with the Terms of Service on a Program matter, these Program Terms control. Capitalized terms not defined here, including Introduction, Hiring Process, Attribution Window, Success Fee and Boost Fee, have the meaning given in the Terms of Service, Candidate Terms or Boosted Job Terms.
You accept these Program Terms when you join the Program, accept them in the Partner Portal, or share your Referral Link, whichever comes first. If you don't agree, don't take part.
5.1 Definitions
- "Participant" or "you": a person accepted into the Program.
- "Referral Link": the unique link or code Refer gives you to refer people.
- "Referral": a person or company contact who signs up for Refer through your Referral Link.
- "Qualified Referral": a Referral that meets section 5.5.
- "Reward": an amount payable to you under section 5.8.
- "Targets": the people and companies Refer lists for a Growth Partner for a given Payment Week (section 5.6).
- "Payment Week": the period between two weekly closings. Refer closes each Payment Week once a week, on Friday, Pacific time (Los Angeles), at any time during that day.
- "Partner Portal": the dashboard and tools Refer gives Participants, including the Refer Partners browser extension.
5.2 The two programs
5.2.1 Every Participant is in one of two programs, depending on whether they have an approved Refer candidate account:
- Refer & Earn is for approved Refer candidates. Any Qualified Referral can earn a Reward. There are no Targets.
- Growth Partners is for every other Participant, including people Refer engages to prospect actively (sometimes called SDRs). Only Qualified Referrals of people and companies on your Targets for the relevant Payment Week earn a Reward.
5.2.2 If your candidate status changes, the program you're in on the date of a Reward event decides which rules apply to it.
5.2.3 Reward amounts and payment rules are the same in both programs, unless Refer agrees otherwise with a Growth Partner in writing.
5.2.4 If a Refer & Earn Participant promotes Refer at scale, for example through paid ads, mass messages or prospecting outside their personal network, Refer may move them to Growth Partners after telling them. From then on, the Growth Partners rules apply, including Targets.
5.3 Eligibility
5.3.1 To take part, you must:
- be at least 18 and able to enter into a binding contract;
- have a Refer account in good standing;
- be legally allowed to receive the payments described here, under the laws where you live and any visa or immigration status that applies to you. You're responsible for checking this;
- not be listed on any US sanctions list, or ordinarily resident in a country or region under comprehensive US sanctions; and
- not be a Refer employee or contractor, unless a Refer officer approves it in writing.
5.3.2 Refer may accept, decline, pause or remove any Participant at any time, at its discretion, subject to section 5.20.
5.4 Relationship
5.4.1 You take part as an independent contractor. Nothing in these Program Terms creates an employment, partnership, joint venture, agency or franchise relationship between you and Refer.
5.4.2 You're not entitled to salary, benefits or reimbursement of expenses. You decide how, when and where you share your Referral Link, subject to these Program Terms.
5.4.3 You can't make promises, accept obligations or sign anything on Refer's behalf.
5.4.4 Section 5.4 applies to Growth Partners and SDRs too, unless you've signed a separate written agreement with Refer that says otherwise. Where that agreement conflicts with these Program Terms, the agreement controls.
5.4.5 Participation is non-exclusive. You may take part in other referral programs, as long as you follow section 5.14 whenever you promote Refer.
5.5 Qualified Referrals
5.5.1 Candidates. A Referral is a Qualified Referral when the person:
- signs up for Refer through your Referral Link;
- had no account, pending sign-up or waitlist entry on Refer before, under any email address or profile;
- is a real person who knowingly signed up, using their own identity and LinkedIn profile;
- works in technology (for example engineering, data, product, design or go-to-market at a technology company) and is based in the United States, as shown on their profile and confirmed by Refer;
- completes sign-up and verification within 30 days after signing up, and is approved by Refer with Reward eligibility; and
- for Growth Partners, is on your Targets for the Payment Week in which they signed up.
5.5.2 Companies. A company Referral is a Qualified Referral when:
- a person who works at the company signs up through your Referral Link, using an email address on the company's domain;
- that person had no account on Refer before, under any email address. The company itself may already be on Refer: any new point of contact at a company counts;
- the person's company account is verified and approved by Refer within 30 days after signing up; and
- for Growth Partners, the company or that person is on your Targets for the Payment Week in which they signed up.
5.5.3 Approval is Refer's decision. Refer decides who is admitted under its own criteria and may change them at any time. Refer may admit a person without Reward eligibility, for example after a manual review of a profile that didn't meet the automatic criteria. Those Referrals don't earn a Reward, and Refer shows status "declined" in the Partner Portal.
5.5.4 Your link, or proof of your outreach. Your Referral Link is the standard way to get credit. A person or company that signs up without your Referral Link counts for you only if a manual attribution request under section 5.7.3 is approved.
5.6 Targets (Growth Partners)
5.6.1 Refer usually gives each Growth Partner a list of Targets for each Payment Week, in the Partner Portal or another written channel.
5.6.2 Only Qualified Referrals of people and companies on your Targets for the Payment Week in which they sign up earn a Reward. People and companies outside your Targets are still eligible for Refer: they're reviewed and treated like anyone else, and having been prospected by you never counts against them. They just don't earn you a Reward.
5.6.3 Want to bring someone who isn't on your Targets? Ask first. They count only if Refer adds them to your Targets in writing before they sign up.
5.6.4 If Refer doesn't send a new list for a Payment Week, your most recent list stays in effect.
5.6.5 Targets lists are Refer's Confidential Information (section 5.16). Being on your Targets doesn't stop another Participant from referring that person; section 5.7 decides who gets credit.
5.6A Teams
5.6A.1 A Participant may set up a team of up to 15 people ("Team Members") to prospect with them. The Participant who sets up the team is the "Team Owner". Refer may change the maximum team size with notice under section 5.19.
5.6A.2 Each Team Member must meet section 5.3.1 and accept these Program Terms before prospecting. Team Members use only the Refer Partners extension, not the full Partner Portal. Each Team Member creates their own unique Referral Link.
5.6A.3 Referrals made through a Team Member's link are credited to the team, and all Rewards go to the Team Owner. Refer doesn't pay Team Members. Any arrangement between the Team Owner and Team Members, including how Rewards are shared, is between them; Refer isn't a party to it and isn't responsible for it.
5.6A.4 Team Members follow the same rules as the Team Owner, including the Team Owner's program under section 5.2 and, for a Growth Partner's team, the Team Owner's Targets.
5.6A.5 The Team Owner is responsible for the team: adding and removing Team Members, making sure they follow these Program Terms, and the consequences of their breaches under sections 5.13 and 5.18. The Team Owner is also responsible for taxes on the team's Rewards under section 5.11.
5.6A.6 A person can be a Team Member of only one team at a time. While they are, the referrals they bring count only for that team.
5.6A.7 When a Team Member leaves or is removed, their Referral Link stops working. If the Team Owner's participation ends, the whole team ends. In both cases, Rewards for events that happened before the end date still go to the Team Owner, subject to sections 5.12 and 5.13.
5.7 Attribution
5.7.1 Credit goes to the Participant whose Referral Link was used for the first valid sign-up. If two Participants refer the same person or company, the earlier sign-up timestamp in Refer's systems wins.
5.7.2 Viewing, marking or messaging a profile in the Partner Portal or the extension doesn't give you credit by itself, but your outreach history can support a request under section 5.7.3.
5.7.3 Manual attribution. If a person or company signed up without your Referral Link, but joined Refer because of your outreach (for example, they first heard of Refer from your messages), you may ask the Refer team member who manages the Program (the "Program Manager") to credit the Referral to you:
- Send the request within 30 days after the sign-up, with evidence dated before the sign-up, such as your messages presenting Refer to that person.
- The Program Manager decides at their discretion, may ask the person how they found Refer, and may ask you for more evidence.
- If approved, the Referral is credited to you and paid in the Payment Week in which the request is approved, as long as the other conditions in section 5.5 are met.
- A Referral already credited to another Participant through their Referral Link stays with that Participant, unless the Program Manager finds that link was used in breach of section 5.18.
- Manual attribution is an exception, not a right, and a refused request isn't open to appeal except under section 5.22.
5.7.4 A person who signs up both as a candidate and as a company contact is attributed separately on each side.
5.7.5 Later Rewards for the same Referral (jobs, Introductions and a hire) go to the Participant credited with the sign-up, subject to section 5.8.
5.8 Rewards
5.8.1 Amounts. All amounts are in US dollars.
| Reward event | Reward |
|---|---|
| A candidate Qualified Referral is approved | $25 |
| A company Qualified Referral is approved | $25 |
| A company posts a job for the first time | $50 |
| A company gets its first Introduction | $100 |
| A candidate or company you referred is hired or hires for the first time | $500 |
5.8.2 Conditions.
- Jobs. The job must be a genuine open role posted on Refer by the company contact you referred, approved by Refer and live for at least 7 consecutive days.
- Introductions. The Introduction must happen within 12 months after the referred candidate's approval.
- Hires. The referred candidate must be hired in a Hiring Process whose first Introduction happened within 12 months after their approval, and within that Hiring Process's Attribution Window. One hire Reward per referred candidate. It's payable only after Refer has collected the related Success Fee or Boost Fee in full. If no fee is charged or collected (for example under a promotion, or where the law doesn't allow a candidate fee), no hire Reward is payable.
5.8.3 Timing of a Reward event. A Reward belongs to the Payment Week in which its event happens: for sign-ups, the time Refer approves the account; for jobs, the end of the 7th day live; for Introductions, the Introduction date; for hires, the date Refer collects the fee.
5.8.4 Bonuses and promotions. Refer may set bonuses for Growth Partners week by week, such as ranking bonuses or bonuses tied to specific Targets, and may run other promotions for any Participant. Each bonus is discretionary and governed by the rules Refer announces for it in the partner group, the Partner Portal or by email. Unless those rules say otherwise, bonuses are paid with the Rewards for the same Payment Week and are subject to sections 5.12 and 5.13.
5.8.5 Only compensation. Rewards and announced bonuses are the only compensation for the Program. Refer doesn't reimburse expenses.
5.9 What doesn't earn a Reward
- Referrals that are rejected, approved without payment, or still pending 30 days after signing up
- Accounts deleted or closed before the Reward is paid
- Duplicates: the same person with two emails or profiles, or someone already on Refer
- Yourself, relatives, or people you live with.
- People who don't work in technology or aren't based in the US
- For Growth Partners, anyone not on that Payment Week's Targets
- Referrals obtained in breach of section 5.14 or section 5.18
5.10 Payment week and payments
5.10.1 Refer closes each Payment Week on Friday, Pacific time (Los Angeles), at any time during that day. Reward events after the closing count in the next Payment Week.
5.10.2 Refer aims to pay the approved Rewards for a Payment Week on the Friday it closes, and in any case within 10 business days after it closes, unless a hold under section 5.12 applies.
5.10.3 Refer pays through its payment provider (currently Wise) by ACH transfer to a US bank account in your own name, or by another method Refer offers you. Refer covers its own transfer fees; any fees charged by your bank are yours.
5.10.4 Refer may combine Rewards from several Payment Weeks into one payment.
5.11 Payment details, taxes and legal status
5.11.1 Payment details. Keep your payment details complete and accurate: account holder name, your own address (not your bank's or payment provider's), routing number, account number and account type. If they're missing or invalid, your payment is held until you fix them. Before paying to a new bank account, Refer confirms the change with you. Refer isn't responsible for a payment correctly made to details you gave us.
5.11.2 Taxes. Taxes on your Rewards are entirely your responsibility. You don't need to send Refer any tax form, and Refer doesn't file anything on your behalf, unless the law requires Refer to.
5.11.3 Your responsibility. You're solely responsible for reporting and paying taxes on your Rewards, and for making sure you're allowed to receive them (section 5.3.1).
5.11.4 Unclaimed Rewards. If Refer can't pay a Reward for 12 months after it became payable, because your payment details are missing or invalid and despite Refer's reminders, the Reward is forfeited to the extent the law allows.
5.12 Review, holds and verification
5.12.1 Refer reviews Rewards before paying them. Most are approved within 24 hours.
5.12.2 Refer may hold any Reward for up to 30 days to verify a Referral, and for longer while a review under section 5.18 is open.
5.12.3 Refer may ask how you found and contacted a Referral and for reasonable evidence, and may ask you to verify your identity (for example, with a government-issued ID) before paying. If you don't provide what's asked within 14 days, the Reward may be cancelled. Refer handles identity documents under its Privacy Policy and keeps them only as long as needed.
5.12.4 Missing or wrong Rewards. If you think a Reward is missing or wrong, tell Refer at contact@cardinalrefer.com within 60 days after the end of the Payment Week it belongs to, with the details. After that, the Rewards paid for that Payment Week are final, except for reversals under section 5.13.
5.13 Reversals, offsets and clawback
5.13.1 A Reward is reversed if it was paid in error; if the Referral didn't qualify; if the referred account is deleted within 30 days after approval; if a hire falls through, or Refer doesn't collect or refunds the related fee (including under the 90-day refund in the Candidate Terms or Boosted Job Terms); or if it was earned in breach of these Program Terms.
5.13.2 If the Reward hasn't been paid yet, Refer cancels it. If it has, Refer may deduct it from your future Rewards. If there are no future Rewards within 90 days, Refer may ask you to repay it within 30 days. Asking for direct repayment is a last resort, except in cases under section 5.18.
5.13.3 In cases under section 5.18, all of your Rewards, paid or pending, may be reversed.
5.13.4 Set-off. Refer may deduct from your Rewards any amount you owe Refer, including a Success Fee you owe under the Candidate Terms, to the extent the law allows. Refer shows each deduction in the Partner Portal.
5.14 Promoting Refer
5.14.1 What you must not do. When you promote Refer, you must not:
- promise anyone a role, an interview, a salary, a visa, sponsorship or any payment;
- make claims about how much anyone earns or can earn from the Program, other than the Reward amounts in these Program Terms;
- offer or give anyone an incentive to sign up, such as sharing your Reward, cash back or gifts;
- send spam or unsolicited bulk messages, or messages that break anti-spam or telemarketing laws (including CAN-SPAM and the TCPA);
- keep contacting someone who has asked you to stop;
- use bots, automation or scraping tools on LinkedIn or any other platform in breach of its terms;
- share false or misleading information about Refer or about yourself;
- say you're a Refer employee, a recruiter or someone who makes hiring decisions, unless that's true;
- run paid ads that use Refer's name or brand, bid on Refer's brand as a search keyword, or register domains, handles or pages that use Refer's name or marks; or
- use Refer's logos or materials other than those Refer provides in the Partner Portal.
5.14.2 Platform rules and law. You're responsible for following the terms of LinkedIn and of every platform where you share your Referral Link, and every law that applies to how you contact people.
5.14.3 Brand license. Refer gives you a limited, revocable, non-exclusive, non-transferable license to use Refer's name and the materials Refer provides, only to promote Refer under these Program Terms. It ends when your participation ends.
5.14.4 How you can describe yourself. You may present yourself as a Refer partner, Growth Partner or SDR, including on your LinkedIn profile (for example, "Growth Partner at Refer" or "SDR at Refer"), and use Refer's name to prospect for Refer, wherever and however you choose, within this section. Doing so doesn't make you a Refer employee (section 5.4).
5.15 Data, privacy and the extension
5.15.1 Share someone's details with Refer only if you have the right to, and only what's needed to make the referral.
5.15.2 Refer handles referred people's personal data under its Privacy Policy. Refer may show you the status of your Referrals (such as pending, approved, rejected or the Reward status), but not their private details beyond what's needed to run the Program.
5.15.3 The Refer Partners extension works as described in the Privacy Policy. Use it only with your own LinkedIn account, and review and send every message yourself. Don't use it to export, store or share profile data outside your own outreach for Refer.
5.15.4 Information about Referrals and prospects that you get through the Program is Confidential Information under section 5.16.
5.15.5 Account security. Keep your Partner Portal login and the extension's credential private. You're responsible for activity on your account. If you suspect someone else has accessed it, tell Refer right away; you can revoke the extension's credential at any time in the Partner Portal.
5.16 Confidentiality
5.16.1 "Confidential Information" means non-public information Refer shares with you through the Program, including Targets, partner playbooks, admission criteria, unpublished features, Program data, and information about candidates, companies and Referrals.
5.16.2 Use Confidential Information only to take part in the Program. Don't disclose it to anyone else, and protect it with reasonable care.
5.16.3 This doesn't apply to information that is or becomes public through no fault of yours, that you already lawfully had, or that you must disclose by law. In that last case, tell Refer first where the law allows.
5.16.4 This section survives for 2 years after your participation ends, and for as long as you hold any personal data received through the Program.
5.17 Conflicts of interest
5.17.1 If you refer a company you work at, founded, invested in or advise, tell Refer when you make the referral. You're responsible for making sure the referral is allowed under your own obligations to that company.
5.17.2 Refer isn't liable for referrals that breach agreements you have with others. Refer may decline or reverse Rewards for a referral where you didn't disclose a material interest.
5.18 Fraud and abuse
5.18.1 What's prohibited. You must not, directly or through anyone else:
- create, buy or refer fake accounts, or use made-up, borrowed or stolen identities, LinkedIn profiles or email addresses;
- sign anyone up without their knowledge and consent, or complete a sign-up on someone else's behalf;
- hold more than one Participant account, create a second account under another email address, or use another person's account, including to refer yourself;
- refer yourself, relatives or people you live with, including through accounts in their names;
- use accounts that Refer rejected, or accounts you control, to refer others or to build chains of referrals;
- create accounts only to get the award;
- help or coach anyone to give false information to pass Refer's checks, such as a false US location, employer, job history or LinkedIn profile;
- pay or give anything to people to sign up, or buy sign-ups or accounts from anyone;
- receive Rewards into another person's bank account, share payment details with other Participants, or give payment details that aren't yours;
- coordinate with a Referral, a company or another Participant to manufacture or speed up a Reward event, including fake or duplicate jobs, Introductions or hires;
- manipulate attribution, for example by sending your link to people who were already signing up, or by making a false request under section 5.7.3; or
- do anything else Refer reasonably considers fraudulent, deceptive or contrary to the purpose of the Program.
5.18.2 Detection. Refer uses automatic and manual checks to detect abuse. Refer may treat accounts it reasonably believes belong to, or are controlled by, the same person as one account.
5.18.3 Consequences. If Refer reasonably believes you've breached section 5.18.1, Refer may, without prior notice:
- suspend your participation and your Referral Link;
- withhold, cancel and reverse all of your Rewards, paid or pending (section 5.13.3);
- close your accounts and any accounts linked to you;
- bar you from rejoining the Program;
- recover amounts already paid, including by offset and collection; and
- report the matter to Refer's payment provider and to the authorities.
5.18.4 People who help you. You're responsible for anyone who promotes Refer with you or for you, as if their actions were your own.
5.18.5 Repeated breaches. Repeated breaches of section 5.9 or section 5.14 may also lead to removal.
5.18.6 Reporting abuse. If you learn of abuse of the Program, tell Refer at contact@cardinalrefer.com.
5.19 Changes
5.19.1 Refer may change these Program Terms, including Reward amounts, limits and Targets rules. Refer gives at least 7 days' notice of material changes by email or in the Partner Portal. Bonus and promotion rules follow what Refer announces for each one.
5.19.2 Changes don't apply retroactively. Rewards for events that happened before a change takes effect follow the terms in effect at the time of the event. A sign-up Reward is paid at the amount in effect on the date Refer approved the account.
5.19.3 If you keep taking part after a change takes effect, you accept it. If you don't agree, stop taking part.
5.20 Suspension and termination
5.20.1 You can stop taking part at any time by telling Refer at contact@cardinalrefer.com.
5.20.2 Refer may suspend or end your participation at any time, and may change, suspend or end the Program. Where practical, Refer gives notice first.
5.20.3 When your participation ends, your Referral Link stops working. Refer pays the Rewards for events that happened before the end date, subject to sections 5.12 and 5.13, unless your participation ended under section 5.18. Referrals that hadn't yet qualified aren't paid.
5.20.4 Sections 5.4, 5.11, 5.13, 5.15, 5.16, 5.17, 5.21, 5.22 and 5.23 survive the end of your participation.
5.21 Disclaimers, liability and indemnity
5.21.1 The Program is provided "as is" and "as available." Refer doesn't guarantee any number of approvals, Introductions, hires or Rewards, or that the Program will continue.
5.21.2 To the extent the law allows, Refer isn't liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or opportunities.
5.21.3 Refer's total liability to you for any claim about the Program is limited to the greater of the Rewards you earned in the 3 months before the claim and US$100.
5.21.4 Nothing in these Program Terms limits liability that can't be limited by law, including for fraud or gross negligence.
5.21.5 You'll defend and reimburse Refer for third-party claims arising from your breach of these Program Terms, the way you promote Refer, or your breach of the law or of a platform's terms, except to the extent caused by Refer.
5.22 Disputes
5.22.1 Section 1.15 of the Terms of Service applies to any dispute about the Program, including the obligation to try to resolve it informally for 30 days first, binding individual arbitration, and your right to opt out of arbitration as described there. These Program Terms are governed by the laws of the State of Delaware.
5.22.2 Refer's decisions on eligibility, attribution and Rewards are final, subject to this section.
5.22.3 Time limit. To the extent the law allows, any claim about the Program must be brought within one year after the facts it's based on. After that, the claim is barred.
5.23 General
5.23.1 Entire agreement. These Program Terms, the Terms of Service, the Privacy Policy and any separate written agreement you've signed with Refer are the entire agreement about the Program.
5.23.2 Assignment. You can't transfer your participation, Referral Link or Rewards. Refer may transfer these Program Terms in a merger, acquisition or sale of its business.
5.23.3 Severability and waiver. If a clause is unenforceable, the rest stays in force. Not enforcing a right isn't a waiver of it.
5.23.4 Notices. Refer sends notices to the email address on your account or in the Partner Portal. Send notices to Refer at contact@cardinalrefer.com.
5.23.5 Electronic acceptance and records. Refer records the version of these Program Terms you accepted and the date, time and IP address of your acceptance. Electronic records of acceptance, Referrals and Rewards are valid evidence between you and Refer.
5.23.6 Language. If Refer provides a translation of these Program Terms, the English version controls.
5.23.7 Interpretation. Headings are for convenience only. "Including" means "including without limitation."
5.23.8 What binds Refer. Only these Program Terms, the rules Refer publishes in the Partner Portal or sends by email, and written agreements signed by an authorized Refer officer bind Refer. Messages from Refer's team or from Lia, in chat or in groups, don't change these Program Terms. The one exception is announcements of bonuses and promotions under section 5.8.4, which Refer may make in the partner group.
5.24 Contact
5.24.1 Support. Any Participant can talk to Refer through the support chat (Intercom) on Refer's website, for technical support and any other question about the Program.
5.24.2 Growth Partners. Growth Partners can also reach the Program Manager directly whenever they need, by email, WhatsApp or the other channels Refer shares with them, and can join the partner Q&A groups.
5.24.3 Formal notices. contact@cardinalrefer.com · Refer Services, Inc., 425 Page Mill Rd, 2nd Floor, Suite 200, Palo Alto, CA 94306.
